Acceptance of Terms
By accessing or using the LayersIQ website (layersiq.com) or engaging our AI development services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, users, and clients who access or use our services. We reserve the right to update these terms at any time. Continued use of our services after any changes constitutes acceptance of the revised terms. We will endeavour to notify registered users of material changes via email.
If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, “you” and “your” will refer to that entity.
Description of Services
LayersIQ provides AI development services including, but not limited to, AI agent design and development, custom large language model (LLM) integrations, machine learning engineering, data analytics pipelines, business process automation, and rapid MVP development. The specific scope, timeline, and deliverables for any engagement are defined in a separate statement of work or project agreement.
We reserve the right to modify, suspend, or discontinue any service or feature at our discretion, with reasonable notice to affected clients. We are not liable to you or any third party for any modification, suspension, or discontinuation of services except as expressly agreed in a signed project agreement.
Our website is provided on an “as is” and “as available” basis for informational purposes. We make reasonable efforts to keep information accurate and up to date, but we do not warrant that the website will be uninterrupted, error-free, or free of harmful components.
Intellectual Property
All content on the LayersIQ website — including text, graphics, logos, icons, images, audio clips, and software — is the property of LayersIQ or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any website content without our prior written consent.
With respect to custom software and AI systems developed for clients, intellectual property ownership is explicitly defined in the relevant project agreement. Unless otherwise agreed in writing, LayersIQ retains ownership of all pre-existing proprietary tools, frameworks, and methodologies used in the delivery of services.
You grant LayersIQ a limited, non-exclusive licence to use any data, content, or materials you provide to us solely for the purpose of delivering the services described in your project agreement. We will not use your confidential business information for any other purpose without your explicit consent.
Limitation of Liability
To the fullest extent permitted by applicable law, LayersIQ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services, even if we have been advised of the possibility of such damages.
Our total aggregate liability for claims arising out of or related to these terms or our services shall not exceed the total fees paid by you to LayersIQ in the 12 months preceding the claim. This limitation applies regardless of the legal theory under which the claim is brought.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which LayersIQ is registered, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days. If a dispute cannot be resolved through negotiation, either party may seek resolution through binding arbitration or the applicable courts, as set forth in any signed project agreement.
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
